Terms of Use
The terms for using the ReadySolve and Night Shift public websites.
Effective and last updated:
1. About us and these terms
This website is operated by READY NIGHT SHIFT LTD, trading as ReadySolve and Night Shift (“we”, “us” or “our”). We are a private limited company registered in England and Wales with company number 17522879. Our registered office is 128 City Road, London, United Kingdom, EC1V 2NX. You can verify our details on Companies House.
Contact us at lancelot@readysolve.sh or by post at our registered office.
These terms govern use of our public websites at readysolve.sh and readynightshift.com, including product information, demonstrations and downloadable examples (the “website”). By using the website, you agree to these terms. If you do not agree, please stop using it. If you use it on behalf of an organisation, you confirm you have authority to act for that organisation.
The website is intended for adult business and research users. These terms do not themselves create a paid service, product licence, subscription or customer relationship.
2. Product licences and separate agreements
We build and license reinforcement learning environments, including MartechBench. Product access, permitted training and evaluation uses, delivery, fees, support, confidentiality and any processing of customer data are subject to a separate agreement with us. Website access does not grant a licence to our proprietary environments, tasks, datasets, graders or software.
Website descriptions, demonstrations and research results are information for discussion; they are not an offer to enter into a contract or a guarantee of availability, performance or future features. Where a separate signed agreement applies, that agreement governs its subject matter and takes priority over these website terms.
3. Permitted use and intellectual property
Subject to these terms, you may browse the website and view, download or print publicly available material for your own internal business evaluation, research and reference. Keep copyright and other proprietary notices intact. You may share links to our pages.
Unless a specific licence says otherwise, intellectual property in the website and its content belongs to us or our licensors. Except as permitted by law or expressly authorised, you must not reproduce, redistribute, sell or commercially exploit our content, remove ownership notices or present our trademarks or materials as your own. Downloadable examples remain subject to any accompanying licence or notices. Nothing in these terms restricts rights under an applicable open-source or other express licence.
You must not use the website unlawfully, introduce malware, attempt unauthorised access, circumvent security controls, interfere with its operation or use automated access in a way that materially disrupts the website. Do not misrepresent your identity or your connection with us.
4. Information, demonstrations and availability
We take reasonable care with website content but do not promise that all information is complete, current or free from error. Recorded agent traces, example workflows and benchmark results illustrate particular tasks and conditions. They do not guarantee the performance of a model or system in another environment and are not legal, medical or other professional advice.
We may update, suspend or withdraw website content and access for operational, security or business reasons. We do not guarantee uninterrupted availability. We may restrict access where reasonably necessary to address misuse, security risks or a breach of these terms.
5. Privacy and communications
Our Privacy Policy explains how we handle personal data, and our Cookie Notice describes cookies and similar technologies. Reading or accepting these terms is not consent to optional marketing or tracking.
Please do not send sensitive personal data, third-party confidential information or proprietary datasets in an initial enquiry. If we need to exchange confidential materials, we can agree appropriate terms first. Nothing here overrides an existing confidentiality agreement.
6. Third-party links
The website may link to third-party websites or resources. We do not control their content or availability. A link does not itself imply endorsement. Their own terms and privacy notices apply when you use those services.
7. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing removes statutory rights that cannot be waived.
Subject to that paragraph, and to the extent permitted by law, we exclude implied warranties and conditions relating to this free informational website. For business users, we are not liable for loss of profit, revenue, business opportunities, anticipated savings or goodwill, or indirect or consequential loss arising from use of, or inability to use, the website.
For business users, our total liability arising out of or in connection with these website terms is limited to £100, to the extent that such a limit is lawful. This limit concerns the free website only; liability under a separate product or service agreement is governed by that agreement.
If you use the website as a consumer, the business-only exclusions and cap above do not apply to you. We are responsible for foreseeable loss caused by our breach or failure to use reasonable care and skill, subject to applicable law, but not loss that was not reasonably foreseeable.
8. Changes and general provisions
We may revise these terms for legal, security or operational reasons. The effective date appears above, and material changes will be highlighted where appropriate. Changes apply to future use and do not retrospectively alter a separate agreement or accrued rights.
If a provision is held unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver. These terms do not give enforcement rights to third parties.
9. Governing law and disputes
These terms and disputes connected with them are governed by the laws of England and Wales. Business users and we agree that the courts of England and Wales have exclusive jurisdiction.
If you are a consumer, you retain the protection of mandatory laws and any right to bring proceedings in your home courts that applicable law gives you. Please contact us first if you would like to discuss a concern, without limiting your right to seek a legal remedy.
